This Freight Logic Inc. (d.b.a. TalkFreight.ai) Terms and Conditions (“Terms”) applies to your access to and use of the websites, mobile apps, widgets, APIs, emails, and other online products and services (collectively, the “Services”) provided by Freight Logic, Inc. (“Freight Logic, TalkFreight, TalkFreight.ai” “we,” “us,” or “our”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

Key Terms

  • Freight Logic Inc.: The company providing freight and logistics services.
  • Services: The website, mobile applications, and other services provided by Freight Logic Inc.
  • User: Any individual or entity using the Services.
  • Content: All information, data, text, software, music, sound, photographs, graphics, video, messages, or other materials.

Scope of Services

These Terms and Conditions govern all cross-border shipping services provided by Freight Logic Inc. (“Company”) for shipments to and from Mexico. By utilizing our services, the Customer agrees to comply with these terms.

Eligibility Criteria

To qualify for cross-border shipping services, the Customer must meet the following requirements:

Valid Business Identification: Customers must provide valid business registration (Tax ID, RFC for Mexico, or EIN for the U.S.).

Proper Documentation: All shipments must include required paperwork:

  • Commercial Invoice

  • Packing List

  • Bill of Lading (BOL) – Supplied by TalkFreight.ai

  • Import/Export Permits, if applicable

  • Certificate of Origin (if necessary under trade agreements like USMCA)

  • Compliance with Customs Regulations: Shipments must meet all customs and regulatory requirements in both Mexico and the U.S., including:

    • Declaring the accurate description, value, and origin of goods.

    • Payment of duties, taxes, and fees.

Prohibited or Restricted Goods: Shipments containing prohibited or restricted items under Mexican or U.S. law will not be accepted. Examples include hazardous materials, firearms, perishable food without permits, drugs, or counterfeit products.

Carrier and Insurance Requirements: Customers must ensure their shipments comply with carrier specifications and, if required, secure cargo insurance.

Responsibilities of the Customer

The Customer must ensure all shipment details (weight, dimensions, and classification of goods) are accurate.

The Customer is responsible for obtaining and presenting all necessary permits, licenses, or certifications for goods requiring special handling.

Incomplete or incorrect documentation may result in shipping delays, penalties, or additional fees.

Any penalties, fees, or delays caused by customs non-compliance will be the sole responsibility of the Customer.

Responsibilities of Freight Logic Inc.

Freight Logic Inc. (d.b.a. TalkFreight.ai) will coordinate cross-border logistics, including customs brokerage assistance where applicable.

We will provide tracking updates and timely communication on the shipment’s status.

While we take reasonable measures to ensure compliance and delivery timelines, Freight Logic Inc. is not liable for delays caused by:

  • Customs inspections
  • Force majeure (natural disasters, strikes, government actions, etc.)
  • Border closures or unforeseen regulatory changes

Customs Clearance Process

Customers must use a qualified customs broker for clearing goods across the border.

Freight Logic Inc. offers integrated customs clearance within our TMS or you may work with your own customs agent.

Duties, taxes, and fees assessed by U.S. or Mexican customs authorities are the responsibility of the Customer and must be paid promptly to avoid delays.

Liability and Insurance

Freight Logic Inc. assumes no responsibility for damages, loss, or delays caused during transit unless otherwise specified by a separate written agreement.

Customers are encouraged to obtain cargo insurance for added protection.

Claims for loss or damage must be submitted within 10 days of delivery.

Payment Terms

All charges for cross-border shipments, including freight, customs fees, and other expenses, must be paid per the terms stated in the Customer’s invoice.

Late payments may incur interest charges or delays in future services.

Dispute Resolution

Any disputes arising from these Terms and Conditions will be resolved under the laws of the State of Kansas, U.S.A., where Freight Logic Inc. is headquartered. Parties agree to binding arbitration for resolution.

Amendments

Freight Logic Inc. reserves the right to amend these Terms and Conditions at any time. Updated terms will be made available on our website or communicated to the Customer.
